General Terms

Questions: team@coreview.one. These terms apply to ShelfSpark Collective engagements unless superseded by a signed statement of work.
Termination
Either party may end the engagement by providing written notice when material obligations remain unresolved after a good-faith cure period of fifteen business days. Upon termination, you agree to pay fees for work completed through the effective date and to return any confidential materials shared by ShelfSpark Collective. Sections that reasonably should survive termination, including confidentiality, limitation of liability, and governing law, remain in force.
Acceptance
By accessing https://coreview.one/, requesting a consultation, or signing a statement of work, you accept these General Terms. If you are entering into this agreement on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, discontinue use of the site and do not submit personal information through our forms.
Intellectual Property
We retain ownership of our methodologies, templates, and pre-existing materials. You retain ownership of your trademarks, packaging, and confidential product information. Deliverables identified as final and paid in full may be used by you for the purposes described in the relevant statement of work unless otherwise noted. You grant us a limited license to use your marks solely to perform the services you requested.
Service Description
ShelfSpark Collective provides co-marketing strategy, retail campaign planning, and related advisory services. Unless expressly included in a signed statement of work, we do not operate retail media buying desks, provide legal advice, negotiate slotting allowances, or guarantee specific sales outcomes. Deliverables are professional opinions and operational plans intended to improve alignment between your teams and merchant partners.
Liability
To the fullest extent permitted under the law of the Republic of Korea, our aggregate liability arising out of or relating to any engagement will not exceed the fees paid to us for the services giving rise to the claim during the three months preceding the event. We are not liable for indirect, incidental, or consequential damages, including lost profits, except where such limitation is prohibited. Nothing in these terms limits liability for intentional misconduct or gross negligence.
User Obligations
You agree to provide accurate information, cooperate with reasonable requests for data and interviews, and ensure that merchant contacts you introduce us to understand the scope of our role. You must not misuse the site, attempt unauthorized access, or use deliverables in a way that violates applicable law or merchant policies. You are responsible for securing credentials to any shared workspace you grant us.
Governing Law and Disputes
These terms are governed by the laws of the Republic of Korea without regard to conflict-of-law principles. Courts in Seoul shall have exclusive jurisdiction, except where mandatory consumer protections require otherwise. Before initiating litigation, the parties will attempt good-faith negotiations for at least twenty business days. Nothing in this section limits your right to lodge a complaint with a competent data protection authority where applicable.
